What is a country/region node partner?

A country node (licensee) is licensed by **ACROMETA LIFESTYLE PTE. LTD.** to operate, in an agreed *territory*, under the Zhimao / procureradar (TradeVision) technology, brand, and business stack—promoting the platform, developing local enterprise clients and channels, and (subject to our approval) referring and co-managing tier-2 partners for buyer intelligence, trade matching, escrow, managed services, and other services we permit in writing.

Term: typically 2 years, with renewal talks starting 60 days before expiry; otherwise the agreement ends. See your executed contract.

Exclusivity and our reserved rights

For the term, we will **not appoint a second** country-node partner in the same territory. We still set global product, billing, risk, and settlement rules, and we retain the **final say** on attribution of customers, trades, and commissions, and on compliance for you and any tier-2 partners.

Permitted business scope (summary)

• Promote the platform and brand in the territory;
• Sell to and support local businesses and partners;
• Refer and co-manage *approved* tier-2 partners who sign our form of agreement and stay within scope;
• Run permitted services such as information, matching, managed services, and escrow in line with our policies.

Economics (per executed contract and system records)

An **annual node license fee** to us (see commercial schedule, USD). Your node **rights and economic participation** under this framework are effective **after payment**. Fees you and tier-2 partners have paid to us are **not refundable** in principle, including on early exit—see the full agreement.

For *approved* tier-2 partners you refer who pay the annual **tech license** to us, you receive **50%** of the relevant share; we pay out within **15 business days** of receiving funds.

On **platform transaction value** in the territory that the platform has recorded, confirmed, or settled, you earn **0.5%**, paid **quarterly**. We may exclude or claw back refunds, fraud, and other non-qualifying amounts.

On **Zhimao points** purchases by end customers that we attribute to *your* direct sales, you earn **10%**; each *approved* tier-2 partner earns **10%** on *their* attributed customers, separately.

Statements follow our **back office and books**; we may set aside **10%** of what we owe you as a **rolling risk reserve**, and we may offset taxes, fees, disputes, and penalties.

Operations, brand, and conduct

You are expected to **keep selling** the program and to meet the **minimum performance** in the side letter. Failure across **two** review cycles can cost you exclusivity or the contract. Use our marks only as permitted, **no** misleading ads or guaranteed returns, **no** unauthorized sub-licensing, and **no** off-platform deal-making to evade our economics. You remain responsible for local law and for confidentiality and data rules.
